Job Description:

We are seeking an experienced Corporate Secretary to manage corporate governance, statutory compliance, and board administration responsibilities for a portfolio of Hong Kong entities. The ideal candidate will have a strong working knowledge of the Hong Kong Companies Act, Filing Requirements, and Corporate Governance Code, with the ability to advise directors and clients on best practices in corporate compliance.

This individual will oversee the team's operations and client advisory functions, ensuring operational excellence, process efficiency, and client experience through effective team leadership and technology adoption.

Key Responsibilities:

Corporate Secretarial & Compliance

Understand Hong Kong corporate secretarial regulations to ensure the team is able to work independently to complete statutory requirements, such as:

  • Ensure the team prepares incorporation documents for new company formations and strike-off documentation for company cessation in a timely manner.
  • Prepare and file statutory documents (annual returns, change of directors/shareholders, share allotments, etc.) using the Companies Registry’s (CR) e-Services
  • Maintain company records, registers, and minute books in accordance with statutory requirements and internal standards.
  • Coordinate and document board meetings, AGMs, and resolutions—drafting agendas, minutes, and board packs.
  • Advise clients and internal stakeholders on corporate governance best practices, directors’ duties, and KYC/AML requirements.

Consistently improve product knowledge in the team in order for them to deliver full support for clients’ company changes as required by law, including but not limited to:

  • Appointment or resignation of directors or company secretaries
  • Issue or allotment of shares
  • Opening of corporate bank accounts
  • Major mergers, acquisitions, or sales of assets
  • Amendments to the company constitution or structure
  • Distribution of dividends or approval of financial statements

Team Management & Operational Excellence

  • Oversee day-to-day corporate secretarial activities to ensure smooth collaboration between team members, internal stakeholders and clients, with the ultimate goal of meeting clients’ statutory timelines.
  • Design and deliver streamlined processes and workflows to drive operational excellence.

Enhance efficiency and productivity via:

  • Constant workflows and process optimisations
  • Collaboration with tech teams or the use of external software to enhance the CS tech stack
  • Ensure implementation and adherence to automated tools and improved systems
  • Foster a collaborative, knowledge-sharing environment to support team development and service excellence.

Client Advisory Services

  • Take on selected complex cases to provide guidance to clients on Singapore and Hong Kong company laws and regulatory requirements.

Qualifications:

  • Degree in Law, Accounting, Business Administration, or related discipline.
  • Associate or Fellow member of HKCGI / ICSA preferred.
  • Minimum 3 - 5 years of relevant experience in company secretarial or corporate compliance, ideally within a corporate services provider or in-house governance team.
  • Strong technical understanding of Hong Kong and Singapore (preferred) regulatory requirements, filings, and corporate structures.
  • Excellent command of English; Cantonese and Mandarin proficiency an asset.
  • Detail-oriented, organised, and capable of managing multiple entity portfolios independently.
  • Proficiency with Viewpoint, CSA, or similar entity management systems advantageous.
