Written by Sneha Patwari, Corporate Secretary Lead
I've guided hundreds of founders through the incorporation process across Hong Kong and Singapore. The questions are always different; the mistakes are usually the same. I write to help people avoid them.
Key Takeaways
Acclime promises "No hidden fees around the corner", but its terms let it adjust your fee on one month's notice if it decides circumstances have changed.
If Acclime incorporates your company, whoever signs the engagement letter (you personally or your holding company) guarantees all of the new company's obligations.
Acclime can hold back your company documents and records until every invoice is paid, so agree how your records are handed over before you sign.
Acclime suits established businesses with complex or multi-market structures, but for a simple Hong Kong company, you can't compare its price until after a discovery call.
Most incorporation providers in Hong Kong compete on a price you can see. Acclime doesn't. There's no figure anywhere on its Hong Kong site, only "Request a quote", followed by a discovery call.
That's normal for firms that sell advisory work, and it isn't a red flag on its own. But it changes how you should research the firm. When there's no price list, the terms of business are the only document that tells you what you're agreeing to before the quote arrives. Most founders never read them.
I did. Acclime's "Corporate Services: General Terms and Conditions" are published on its group website and form part of the engagement letter you'd sign, unless the letter itself sets different terms (clause 19.2). Below, I set three of Acclime's Hong Kong marketing claims against those terms and against the Companies Registry's own records, then list the questions worth asking on the call.
Statrys competes directly with Acclime for company incorporation and company secretary work in Hong Kong, so we have a stake in this. That's why every claim below is quoted from Acclime's own pages and terms, or from the Companies Registry, and why I've noted where Acclime's terms are standard for the industry.
Acclime at a Glance
| Category | Detail |
|---|---|
| Who It Is | A corporate services group founded in 2019, now in 18 to 20 markets (its own pages differ), and a portfolio company of private equity firm Warburg Pincus, which agreed to invest in December 2025 |
| Hong Kong Licences on the Register | Acclime Secretaries Limited (TC009500), Acclime Corporate Advisory (Hong Kong) Limited (TC006102), and Acclime Tax Advisory (Hong Kong) Limited (TC006234) |
| Pricing | Quote only, after a form and a discovery call; no Hong Kong prices published |
| Structures | Private limited companies, representative and branch offices, partnerships, non-profits, and shelf and offshore companies |
| Accounting | Priced by transaction volume; audit done by an outside firm Acclime recommends |
| Business Account | No account of its own; prepares documents and arranges bank meetings |
| Public Reviews | No Trustpilot profile |
Acclime is a serious firm with real depth, and it handles structures many online providers won't touch. The question this review answers isn't whether Acclime is capable. It's what you're signing up to before you know the price.
What Acclime Promises
| Acclime Page (Hong Kong) | Wording Used |
|---|---|
| Company Registration Page | “Request a quote and get a clear picture of your costs before you start with our upfront and affordable pricing. No hidden fees around the corner.” |
| Company Registration Page | “1 day” setup for a private limited company; “Most new companies can be set up in 10 business days or faster” |
| About Page | “Acclime is partner owned and its partners are the largest shareholders in the company” |
| Company Secretary Page | “You will never have to worry about missed or late filings and overdue fees.” |
Promise 1: "No Hidden Fees Around the Corner"
Acclime's company registration page promises "upfront and affordable pricing" and "No hidden fees around the corner." You only see that price once you request a quote, which is fair: a quoted fee can be perfectly clear. The terms decide how long it stays that way.
| Clause (Acclime General Terms) | What It Says | What It Means for You |
|---|---|---|
| 9.7: Fee Review | Acclime “will obtain your prior agreement” to any annual fee change, except after a material rise in the Consumer Price Index, or “at any time when and if, in our sole opinion, there are any material changes” to your objectives, your needs, the law, or “any other circumstances, which existed at the date that you entered into this Agreement”, effective “one (1) month after notice” | The agreed fee holds unless Acclime decides something material has changed since you signed. That covers almost any circumstance, and the decision is Acclime’s |
| 4.1(b): Out-of-Scope Work | Where there’s no fixed fee, Acclime charges “prevailing standard hourly rates” multiplied by “the time we record” | Anything outside your quote is billed by the hour, at rates you won’t see in advance unless you ask |
| 10.1 and 22(g): Disbursements | Disbursements “are payable in addition to the Fees” and include “official/authority fees; bank fees; printing; ... couriers ... and accounting or other software subscription fees” | Government fees and some running costs sit outside the quoted fee. An itemised breakdown is given only on “reasonable written request” (10.2) |
| 9.1: Invoicing | Acclime “may issue our invoice(s) in a collective manner with aggregated Fees in USD”, or separate invoices in local currency | Your Hong Kong quote could be billed in US dollars, so ask which currency you’ll be invoiced in |
| 9.2: Payment | Invoices due “within 14 days”, with interest “at the rate of 8% per annum” after that | A standard professional-services term |
None of this means a quote from Acclime will grow. It means the quote isn't the whole contract. When you get one, ask what's inside the fixed fee, what's billed as a disbursement, what's hourly and at what rate, and get the year-two price in writing.
Promise 2: Set Up in One Day
The same page shows "1 day" as the setup time for a private limited company, and says "Most new companies can be set up in 10 business days or faster". An older Acclime page on private limited companies says "An incorporation can be done within one week if there are no complications."
All three can be true at once. The Companies Registry normally issues electronic certificates for private companies limited by shares within one hour of an online application, so one day is realistic once a file is ready to submit. What the headline leaves out is the time before that: Acclime says "We will get back to you within one business day" after you get in touch, and then come a discovery call, a signed engagement letter, and identity checks.
Plan around one to two weeks from first contact for a simple company, and longer for a branch office, which Acclime itself puts at three to four weeks.
Promise 3: "Partner Owned"
Acclime's Hong Kong About page says it is "unique in the field of corporate services in Asia in that Acclime is partner owned and its partners are the largest shareholders in the company", and the homepage says the people helping you "are owner-managers, with a stake in our firm".
In December 2025, Acclime announced that private equity firm Warburg Pincus had "signed an agreement to invest in Acclime", describing a group with "more than 50 acquisitions" behind it (Acclime's announcement), and a July 2026 Acclime press release calls Acclime "a portfolio company of Warburg Pincus".
Private equity backing isn't a problem in itself, and it often funds better systems and wider coverage. But it does mean the About page describes an ownership structure that may no longer be accurate, and that Acclime is growing by acquisition across Asia. If you value continuity of the people looking after your company, ask who your day-to-day contact will be and whether they're a partner or a manager.
The Terms to Read Before You Sign
Acclime's quote comes with an engagement letter, and the General Terms and Conditions sit underneath it. These are the clauses that matter most for a founder setting up a Hong Kong company.
| Clause | What It Says | What It Means for You |
|---|---|---|
| 20: Parent Guarantee | Where services include incorporation, the agreement is deemed to include the new company or is assigned to it “from you (being sole shareholder of the New Co)”, and “you unconditionally and irrevocably guarantee performance of all of the New Co’s obligations under this Agreement” | Whoever signs the engagement letter (you personally or your holding company) stands behind the new company’s fees and obligations to Acclime |
| 9.8: Lien | Acclime may “exercise a lien over all fund, documents and records in our possession relating to all Agreements until all outstanding Fees and Disbursements are paid in full” | A fee dispute on any service can hold back your company records, including those for unrelated work |
| 5.2: Your File | Acclime may keep your file for 7 years, may charge “photocopying and other administrative charges” for copies, and “shall not be held liable for any failure to provide you with any such files and associated documents upon your request” | The terms don’t commit Acclime to hand back your statutory records when you leave |
| 12.4: Notice | “Either party may terminate this Agreement without cause by providing two (2) months’ Notice in writing” | Plan any switch at least two months ahead. All fees to the end date become payable (12.5) |
| 12.3: Termination without Refund | Acclime may terminate “immediately without Notice and without refunding any amount already paid” if, in its opinion, you, your directors, or people acting for you commit, or are “as a result of your instructions, likely to commit”, a breach of law | A compliance concern can end the service with no refund, on Acclime’s judgment |
| 14.5: Liability Cap | Acclime’s liability “is limited to the aggregate amount of twelve (12) months of the Fee” connected with the loss | If a missed filing costs you more than a year’s fee for that service, the excess is yours |
| 7.2: Hiring Acclime Staff | Offering a job to an Acclime employee who worked on your account, during the engagement or for 12 months after, without Acclime’s written consent costs “an amount equal to the annual gross salary of such employee” | Relevant if you’d like to bring your accountant or secretary in-house later |
| 18: Governing Law | The agreement is governed by “the laws of Singapore”, with disputes referred to arbitration in Singapore | Unless your engagement letter sets different terms, a dispute with Acclime would be resolved under Singapore law, in Singapore |
| 22(j): Changes to the Terms | The General Terms include any new version “as may be from time to time be published on our website” | The terms can change by website update; save the version you signed under |
Some of this is standard. Liability caps tied to a year's fees, payment within 14 days, and the right to drop a client over a compliance concern appear in most professional-services contracts. Two clauses stand out. The guarantee in clause 20 is worth asking Acclime to remove or limit, especially if you'd be signing as an individual. And the combination of a lien over records for "all Agreements" with no promise to return your files is the part to settle in writing before you sign, because your statutory registers are what you'd need to move to a new secretary.
What Acclime Is Good At
None of the above makes Acclime the wrong choice. It makes it a firm to engage with your eyes open. Acclime is strong in three situations:
- Complex or unusual structures. Representative offices, branch offices, limited partnerships, non-profits, and shelf companies, alongside the standard private limited company. See our guide to Hong Kong legal entities if you're unsure which you need.
- Groups across several Asian markets. One firm can coordinate entities in 18 or more markets, which is where a regional provider earns its keep.
- Senior advisory work. Acclime's Hong Kong business absorbed RSM Hong Kong's non-audit practice in 2023, and it now offers tax advisory, pre-IPO and HKEX listing support, and fund establishment and advisory, alongside company secretary work.
Per its accounting page, Acclime also prices accounting on transaction volume rather than revenue, which suits companies with high revenue and few transactions. The audit itself is done by an outside firm: Acclime says it "can also recommend an appropriate auditing firm".
What Acclime's Customers Say
Very little, publicly. There's no Trustpilot profile for Acclime, and its Hong Kong pages show no ratings or review scores. That's not a warning sign, since firms selling to established companies often rely on referrals, but it means you'll be judging Acclime on the discovery call and the engagement letter, not on other founders' experience. Ask for two client references with a structure like yours.
Questions to Ask Acclime on the Discovery Call
- Which Acclime company will I contract with, and what's its TCSP licence number? Then search that name on the Companies Registry's register.
- What's the fixed fee for year one and year two? Ask for both in writing, in Hong Kong dollars.
- What's billed outside the fixed fee? Get a list of expected disbursements and the hourly rates for out-of-scope work.
- Who does the audit, and what does it cost? Get the audit firm's name and fee before you choose an accounting package.
- Will you remove or limit the guarantee in clause 20?
- How are my statutory registers handed over if I leave, and who files Form ND2A? Your company must notify the Companies Registry of a new secretary within 15 days.
- Which law governs my engagement letter? If Hong Kong law matters to you, ask whether it can apply.
If you're comparing secretaries rather than incorporating, our list of the best company secretary services in Hong Kong applies the same licence and fee checks to eight providers.
How Statrys Compares
| Factor | Acclime Hong Kong | Statrys |
|---|---|---|
| Incorporation Price | Quote after a discovery call | HKD 7,875, including government fees, registered address, and first-year company secretary |
| Year-Two Compliance | Quote | HKD 6,966 (secretary, address, Business Registration, and Annual Return filing) |
| Accounting | By transaction volume, quoted; audit by an outside firm | From HKD 891.67 a month by transactions, with bookkeeping, audit, and tax filing included |
| Business Account | Prepares documents and arranges bank meetings | Application for Statrys’ own multi-currency business account, 11 currencies, subject to approval |
| Structures | Wide range, including branches, representative offices, and partnerships | Private limited companies |
| Markets for Company Services | 18 to 20 across Asia-Pacific | Hong Kong and Singapore |
| Public Reviews | No Trustpilot profile | Trustpilot 4.9 out of 5 (500+ reviews) |
| TCSP Licence | Three licensed entities (TC009500, TC006102, TC006234) | TC008677 |
If your structure is complex or spans several markets, Acclime's depth is worth the discovery call. If you're setting up a single Hong Kong private limited company, it helps to see how Statrys answers the same questions this review asks of Acclime:
- Which company will I contract with? Statrys Corporate Services Limited, which holds TCSP licence TC008677. You can search it on the register yourself.
- What's the fixed fee for year one and year two? Both are published. Year one is HKD 7,875, which covers government fees, a registered address, and a company secretary for the first year. From year two, the secretary, registered address, Business Registration, and Annual Return filing cost HKD 6,966 a year.
- What's billed outside the fixed fee? Government incorporation and Business Registration fees are already in the year-one price, so they aren't added on top as disbursements.
- Who does the audit, and what does it cost? Accounting is priced by monthly transaction volume, from HKD 891.67 a month. Bookkeeping, audited financial statements, and profits tax filing are included in that fee. Offshore tax claims are charged separately.
- What about a business account? Statrys handles the application for its own multi-currency business account, which supports 11 currencies, so there's no separate bank meeting to arrange. Approval isn't automatic and depends on eligibility.
Statrys isn't the right fit for every company. It only sets up private limited companies, and only in Hong Kong and Singapore. If you need a branch office, a representative office, a limited partnership, or entities across several Asian markets, Acclime covers ground Statrys doesn't.
Over 1,600 companies have been set up through Statrys in Hong Kong and Singapore. Put the same questions to Statrys before you sign, as you would with any provider, or compare more providers in our list of the best company incorporation services in Hong Kong.
FAQs
Is Acclime licensed in Hong Kong?
Yes. As of October 2026, three Acclime companies hold TCSP licences on the Companies Registry's register: Acclime Secretaries Limited (TC009500), Acclime Corporate Advisory (Hong Kong) Limited (TC006102), and Acclime Tax Advisory (Hong Kong) Limited (TC006234). Check which of these your engagement letter names, and search it on the register yourself.
How much does Acclime charge to set up a Hong Kong company?
Acclime doesn't publish prices. You request a quote, Acclime says it replies within one business day, and pricing follows a discovery call. Its terms add disbursements such as government fees on top of the quoted fee, and bill work outside the agreed scope at hourly rates.
How long does Acclime take to incorporate a company?
Acclime shows "1 day" for a private limited company and says most companies can be set up in "10 business days or faster". The one-day figure covers the filing, so allow extra time for the quote, discovery call, engagement letter, and identity checks. Acclime puts branch offices at three to four weeks.
Does Acclime require a personal guarantee?
Its General Terms do, where Acclime incorporates your company: under clause 20, the party that signs the engagement letter "unconditionally and irrevocably" guarantees the new company's obligations under the agreement. If you sign as an individual, that's a personal guarantee. Ask Acclime whether it will remove or limit this in your engagement letter.
Can I leave Acclime and take my company records with me?
You can end the agreement on two months' written notice. The terms don't commit Acclime to return your files, and they let it charge for copies and give it a lien over documents and records until all fees across all your agreements are paid. Agree the handover of your statutory registers in writing before you sign.
What is the best alternative to Acclime in Hong Kong?
For a single Hong Kong private limited company, Statrys publishes its price (HKD 7,875 in year one, then HKD 6,966 a year), includes the audit in its accounting fee, and offers its own multi-currency business account. For complex or multi-market structures, Acclime's range may suit you better.
